Welcome to Salisbury Bookkeeping, LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website salisburybookkeeping.com and the bookkeeping and financial services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms.
Services Provided
Salisbury Bookkeeping provides fractional controller and bookkeeping services exclusively for construction companies. Our services may include:
- Financial systems audits and assessments
- QuickBooks Online setup, configuration, and management
- Integration with project management software (Buildertrend, Procore, CoConstruct, Knowify, and others)
- Job costing and work-in-progress (WIP) reporting
- Cash flow forecasting and management
- Retainage management
- Accounts Receivable and Accounts Payable management
- Monthly financial close and reporting
Professional Disclaimer
Salisbury Bookkeeping is a bookkeeping and financial systems firm. We are not a Certified Public Accounting (CPA) firm and do not provide auditing, attestation, or tax preparation services that require CPA licensure. For tax advice, audited financial statements, or legal matters, please consult a licensed CPA or attorney.
Results may vary. While we have documented client success stories, individual results depend on factors including your business circumstances, implementation, and market conditions. Past performance does not guarantee future results.
Our Guarantee
Fix It or Free Guarantee
If we do not identify at least one significant revenue leak or profit improvement opportunity within the first 60 days of our engagement, we will continue working at no additional charge until we do.
This guarantee applies to clients who provide timely access to financial records and actively participate in the implementation process.
Ownership of Work Product
Any systems, configurations, chart of accounts setups, integrations, reports, or other work product we create in QuickBooks Online or your project management software during our engagement remain your property. If our business relationship ends for any reason, you retain full ownership and access to all systems we have built. We will not alter, remove, or restrict your access to any work completed during our engagement.
Payment Terms
Payment terms will be outlined in your individual service agreement. General terms include:
- One-time assessment fees are due upon completion of the assessment
- Monthly retainer fees are due at the beginning of each service month
- Setup fees for implementation packages are due upon project commencement
Refund Policy
Due to the nature of our services, we do not offer refunds for work already completed. However, you retain full ownership of all systems, configurations, and deliverables created during our engagement. If you choose to discontinue services, you keep everything we have built.
Confidentiality and Non-Disclosure
Entering into a service agreement with Salisbury Bookkeeping constitutes a mutual non-disclosure agreement. We commit to:
- Keeping all client business information, financial data, and proprietary processes strictly confidential
- Never disclosing any client information to competitors or unauthorized third parties
- Using your information solely for the purpose of providing our contracted services
- Maintaining confidentiality indefinitely, even after our business relationship ends
You agree to keep confidential any proprietary processes, systems, or methodologies we share with you during our engagement.
Client Responsibilities
To ensure successful service delivery, clients agree to:
- Provide timely access to financial records, bank statements, and software systems
- Respond to communications within a reasonable timeframe
- Provide accurate and complete information
- Participate in scheduled calls and training sessions
- Implement recommended processes and workflows in good faith
Limitation of Liability
To the fullest extent permitted by law, Salisbury Bookkeeping, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services. Our total liability for any claim shall not exceed the amount paid by you for services during the three months preceding the claim.
Dispute Resolution
In the event of any dispute arising from these Terms or our services, both parties agree to first attempt resolution through good-faith mediation before pursuing any other legal remedies. Any mediation or legal proceedings shall be conducted in the State of Utah, and these Terms shall be governed by Utah law.
Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination:
- You retain ownership of all work product and systems created
- Payment is due for all services rendered through the termination date
- We will provide reasonable assistance in transitioning your accounts
- Confidentiality obligations remain in effect indefinitely
Website Use
By using our website, you agree to:
- Use the site only for lawful purposes
- Not attempt to gain unauthorized access to any systems or data
- Not reproduce, distribute, or create derivative works from our content without permission
Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the revised Terms.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
